1. Agreement to These Terms

These Website Terms of Use ("Terms") govern your access to and use of kiwii.ai, www.kiwii.ai, move.kiwii.ai, launch.kiwii.ai and related Kiwii product landing pages, waitlists, surveys, content, communications, and paid reservations operated by KIWII AI INC. ("Kiwii," "we," "us," or "our") (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. A paid reservation requires your separate affirmative agreement at checkout to these Terms and the identified Campaign Schedule. Website use alone never authorizes a charge.

2. Eligibility and United States Availability

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. The Service and waitlists are intended for users located in the United States. A paid reservation is available only for the products and U.S. shipping destinations expressly listed in its Campaign Schedule. We do not represent that the Service is appropriate or available in other locations.

3. Free Waitlists and Paid Reservations

A free waitlist allows you to express interest in Kiwii products and receive launch updates. Joining a free waitlist, completing a survey, or receiving a promotional code:

• does not itself create a purchase order, preorder, paid reservation, deposit, ownership interest, or binding obligation to buy or sell a product;
• does not require payment or authorize a charge;
• does not itself guarantee a unit, production allocation, priority position, price, discount, feature, delivery date, or availability; and
• is distinct from a paid reservation, which is governed by the terms below and the Campaign Schedule expressly identified at checkout.

We may change, pause, limit, or discontinue a free waitlist prospectively. A paid reservation creates enforceable rights to the stated benefit and refunds under these Terms, even if you are not obliged to place a final product order. We cannot avoid those rights by calling a transaction a reservation or changing a promotional program.

3A Paid reservation and checkout disclosures

The deposit principal ("Principal" or "D") is the amount paid toward the product price and excludes separately itemized taxes and other charges. For the Kiwii Move campaign in the Schedule, D is USD $1. A full refund of an unused reservation includes all cash actually collected for it, including D and any deposit-stage taxes or other charges, processed in accordance with applicable law. A promotional discount is not cash. Before payment, checkout will show the eligible product and shipping destinations, campaign and redemption dates, price calculation, taxes, free shipping terms, and the total due. A reservation is not an investment, interest-bearing arrangement, general-purpose stored-value account, or authorization to charge a balance automatically.

We will provide a confirmation identifying your reservation, amount paid, campaign benefit, applicable Terms and Schedule versions, and refund contact. The Kiwii Move One Dollar Reservation Schedule governs this campaign. It does not apply to other products or create a second benefit or gift entitlement. A reservation is personal to you and is not transferable or resellable without our written consent, and any limited product warranty we provide runs to the original purchaser as described in our Limited Warranty policy. The product, price and shipment commitments stated in that Schedule remain subject to the cancellation and delay protections below; general website disclaimers do not override them.

3B Product price and promotional benefit

The Kiwii Move product price is not fixed by these Terms and is not set at the time you place a reservation. Your USD $1 principal is applied once toward the product price that we disclose to you before you pay any balance. If we offer a promotional benefit with this reservation, we will state its amount and how it is applied in the same disclosure. We will itemize the product price, the principal already paid, any promotional benefit, applicable taxes, and the remaining amount due — at reservation checkout for the amount due today, and again in the December 2026 redemption invitation before you authorize any further payment. Any promotional benefit applies only to the eligible product price, has no cash refund value, earns no interest, and ends when the reservation is refunded. Your USD $1 principal is cash, is never converted into a promotional benefit, and remains refundable under Section 3E.

At redemption, we will show the product price, your principal already paid, the promotional discount, and the remaining amount due separately. Your principal is never deducted twice or treated as a non-refundable promotional discount. You decide whether to place the product order and authorize the displayed payment. No balance is charged automatically. If the disclosed price or benefit changes materially, you may cancel for a full refund of cash collected or expressly agree to an appropriate lawful alternative. We cannot forfeit principal or other cash already collected.

3C Optional reservation and free updates

You may choose the paid reservation or sign up separately for free Kiwii Move launch updates. The free signup offers one marketing email a month about the launch and first-run updates, and you may unsubscribe at any time. It does not create a paid reservation or promotional purchase benefit. Payment is not consent to marketing. Necessary reservation, payment, redemption, shipping, delay and refund messages are separate from optional launch updates.

3D Redemption and product orders

In December 2026, we will email you an invitation to pay the balance and place your Kiwii Move product order. We will also notify you before the disclosed redemption deadline. You choose whether to proceed; no balance will be charged without your affirmative instruction. Before you order, we will disclose the final product description, the product price and reservation calculation, applicable taxes, free U.S. shipping coverage, the expected shipment window and dispatch origin, cancellation and return terms, and warranty terms. We will separately show total taxes and other charges, amounts already collected for each item, and only unpaid amounts due. Previously collected taxes and other charges are credited or otherwise reconciled in accordance with applicable law and are never collected twice. Any overcollection is returned in money. An order is formed when we issue an express product-order acceptance confirmation after your affirmative purchase instruction. A reservation receipt confirms your reservation rights; this description does not postpone legal obligations that arise earlier.

If you do not redeem or do not authorize and pay the displayed balance by the redemption deadline stated in the Schedule, we will cancel the unused reservation and its promotional entitlement, notify you, and automatically refund all cash collected, including D and any deposit-stage taxes or other charges, processed in accordance with applicable law. The October reservation closing date is not the December redemption deadline. There is no forfeiture, inactivity fee, or automatic balance charge. If a payment fails after an order instruction, we will notify you and give a reasonable opportunity to resolve it within the disclosed redemption period, or cancel and return cash already collected.

3E Cancellation and refund amounts

Before redemption, you may cancel for any reason and receive a full refund of all cash collected for the unused reservation, including D and any deposit-stage taxes or other charges, processed in accordance with applicable law, without a penalty or processing-fee deduction. After paying the balance and before shipment, you may also cancel for a full refund of all cash collected for the transaction, including D, the balance, and paid taxes or other charges. Beginning fulfillment alone does not remove this right. For this Kiwii Move campaign, contact founders@kiwii.ai with your reservation or order number and purchase email. A reason is optional; we may reasonably verify ownership but do not require marketing subscription or account creation.

If we cancel the campaign or cannot supply the qualifying product, we will notify you and automatically refund all cash collected for the unused reservation or unshipped order, including the principal, any paid balance, and taxes or other charges, processed in accordance with applicable law. The promotional entitlement ends on refund and is not redeemed for cash. A refund is money, not compulsory store credit.

After delivery, product returns and refunds are governed by our Returns & Refunds policy, and any written limited warranty is governed by our Limited Warranty policy. Both policies are incorporated into these Terms by reference and are made available to you before you pay any balance. Those policies state, among other terms, the return window, the condition requirements, any restocking fee, who pays return shipping, the limited warranty periods, the available remedies and who selects them, and the limits on who and what is covered; where either policy differs from a general description elsewhere on the Service, that policy controls. Nothing in either policy or in these Terms limits your rights for defective, damaged, incorrect, or otherwise nonconforming goods, or any other mandatory consumer rights. For a return accepted under the Returns & Refunds policy, the refundable amount always includes your USD $1 principal and the cash balance actually paid, less only the deductions expressly stated in the Returns & Refunds policy; it excludes any promotional benefit, which is not cash. This calculation applies to an accepted return and does not convert a warranty claim into a cash refund where the Limited Warranty policy provides repair or replacement instead. Applicable refundable taxes are returned. We do not deduct an invented outbound shipping charge for shipping that was included at no charge. The right to cancel a reservation under this Section 3E does not create an unlimited change-of-mind return period after delivery, and does not reduce any existing applicable rights.

A duplicate payment will be investigated promptly and the excess cash returned without cancelling a valid remaining reservation or its benefit. A payment dispute or chargeback does not waive legal rights. We will reconcile any bank credit and merchant refund to prevent double recovery, keep you informed, and not delay an undisputed amount solely because another amount is disputed.

3F Refund timing and payment route

We will initiate refunds promptly and no later than the period stated in our Returns & Refunds policy after the right to refund arises or, for a voluntary delivered-product return, the required return is received and reasonably inspected. Any shorter statutory deadline controls; internal approval does not restart it. We will refund to the original payment method and confirm the amount and initiation date. Bank posting is separate from refund initiation: your bank or card issuer determines when a refund appears in your account, and that timing is outside our control. Any applicable specific arrival commitment remains binding and is not converted into a later initiation deadline by this distinction. If the original method fails or is unavailable, we will contact you securely to arrange a lawful monetary alternative within the applicable deadline. We will not force store credit and remain responsible for following up on a failed refund.

3G Product changes and shipping delays

If a material product, price, promotional benefit, or delivery change affects your reservation or order, we will notify you and offer cancellation and a full refund of the cash paid for the affected unshipped transaction, or your affirmative agreement to an appropriate alternative. We will not treat silence as agreement to a material substitution. If we cannot ship within the shipment window disclosed to you before your product order or another applicable promised or legally required time, we will give the required delay notice, explain the revised date or uncertainty, and obtain the required consent to continued waiting. If that consent is absent when required or you decline, we will cancel and refund promptly. An unused reservation may always be cancelled before redemption, and the pre-shipment cancellation right remains available.

The FTC Mail, Internet, or Telephone Order Merchandise Rule and other applicable consumer laws govern according to the actual transaction. Neither the reservation label nor a statement that a final order is not yet formed excludes their application. When the Rule applies, we will have a reasonable basis for the disclosed shipment time or the applicable default time, give required delay options, and issue refunds within its deadlines. No general development estimate, disclaimer, amendment, termination, or liability limit in these Terms overrides those duties.

4. Product Status and Forward-Looking Information

Products under development may change. Images, descriptions, prototypes, specifications, features, performance statements, expected pricing, production quantities, launch timing, and shipping estimates must be read with the disclosures for the particular product. General development statements do not override a paid reservation, an accepted product order, an express warranty, or a mandatory consumer right. If a material product or delivery change affects your reservation or order, Section 3 applies.

5. Wellness Product; Not Medical Advice

Kiwii Move is intended as a consumer wellness product. The Service does not provide medical advice and is not intended to diagnose, treat, cure, or prevent any disease or medical condition. Content concerning movement, vibration, balance, activity, weight-loss journeys, GLP-1 use, recovery, sleep, or wellness is general information and is not a substitute for advice from a qualified health professional.

Consult a qualified health professional before beginning a new movement or vibration routine, particularly if you are pregnant, have a pacemaker or implanted device, have a recent injury or surgery, or manage a medical condition. Do not disregard professional medical advice because of information on the Service.

6. Permitted Use

You may use the Service only for lawful, personal, non-commercial purposes and in accordance with these Terms. You may not:

• interfere with the operation or security of the Service or attempt to gain unauthorized access;
• use automated means to scrape, copy, index, or extract content except as permitted by applicable law;
• submit false, misleading, fraudulent, unlawful, or harmful information;
• impersonate another person or misrepresent your affiliation;
• introduce malware or other harmful code; or
• use the Service or its content to violate law or the rights of Kiwii or another person.

7. Intellectual Property

The Service and its content, including the Kiwii, Kiwii Move, and Kiwii Power names, logos, designs, text, graphics, images, videos, software, product concepts, and arrangement, are owned by or licensed to KIWII AI INC. and are protected by intellectual-property and other laws. We grant you a limited, revocable, non-exclusive, non-transferable right to access the Service for its intended purpose. No other rights are granted.

8. Feedback and Survey Responses

If you submit ideas, suggestions, comments, or other feedback about Kiwii or its products, you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, modify, create derivative works from, and otherwise exploit that feedback for any lawful purpose without compensation or attribution. This license does not change our obligations concerning personal information under our Privacy Policy.

9. Marketing Communications

When you join a waitlist for product news, you request the marketing communications described at signup. The free Kiwii Move launch-updates signup offers one marketing email a month; necessary transaction notices are separate from that frequency. Marketing signup is optional and separate from payment and acceptance of reservation terms. You may unsubscribe at any time using the unsubscribe link in an email. We may still send necessary reservation, payment, redemption, delay, safety, order, and refund notices. Unsubscribing does not cancel your reservation or affect your refund rights. Your use of the Service remains subject to our Privacy Policy.

10. Third-Party Services and Links

The Service may rely on or link to third-party services, including payment, email, hosting, advertising, analytics, and survey providers. Their separate terms may apply to their services. We do not control independent third-party websites, content, or practices. Use of a payment or fulfillment provider does not remove our obligations to you under these Terms, including refunds.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." KIWII DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETE.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. This Section 11 applies to the Service — this website and its content — and does not apply to the Kiwii Move product. These website disclaimers do not exclude an express product warranty or non-waivable statutory warranty, do not limit any mandatory consumer rights relating to the product, and do not limit our duty to honor a paid reservation, an accepted order, or a refund. Any written limited warranty we provide with a product is set out in our Limited Warranty policy.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIWII AI INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID US, IF ANY, TO USE THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited. Neither this cap nor any exclusion in these Terms limits the return of money we owe you, including reservation principal, paid order balances, or refundable taxes, shipping and other collected charges, regardless of when paid.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless KIWII AI INC. and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, losses, and reasonable costs arising from your unlawful misuse of the Service, your violation of these Terms, or your infringement of another person's rights. This provision does not require you to indemnify us for our own unlawful conduct.

14. Suspension and Termination

We may suspend or terminate access to the Service if we reasonably believe you violated these Terms, created risk or legal exposure, or interfered with the Service. We may investigate suspected fraud proportionately, but suspension or termination does not forfeit money or eliminate refund or other accrued consumer rights. Sections that by their nature should survive termination will survive, including refund obligations and applicable intellectual-property, disclaimer, liability, indemnification, and dispute provisions.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that mandatory consumer-protection laws of your state of residence continue to apply where they cannot be waived. Any dispute arising from these Terms or the Service must be brought exclusively in the state or federal courts located in Delaware, and each party consents to their jurisdiction, unless applicable law gives you a non-waivable right to bring a claim elsewhere.

16. Changes to the Service or Terms

We may update the Service and these Terms from time to time. We will post revised Terms and update the effective or last-updated date. Material changes apply prospectively, with additional notice or affirmative consent where required. Continued website use does not authorize additional payment or retroactively reduce an existing reservation benefit, refund right, or accepted order right. The version and Campaign Schedule recorded with your reservation govern that reservation unless you expressly agree to a lawful change that does not waive mandatory rights.

17. General Terms

These Terms, the applicable Campaign Schedule and order terms, together with the Privacy Policy for personal information practices, govern the Service. Mandatory law controls. For reservation benefits and cancellation or refund rights, Section 3 and the Campaign Schedule control over inconsistent general website or return-policy language; a Schedule may specify campaign details but cannot reduce Section 3 refund protections. Product order terms govern other sale, delivery, return, and warranty matters, without retroactively worsening reservation rights or existing applicable refund promises. If a provision is unenforceable, it will be modified only as law permits and the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or transfer of the Service, without extinguishing your rights or our refund obligations.

Schedule Kiwii Move One Dollar Reservation

Campaign version: September 24, 2026. Eligible product: Kiwii Move, single model; the box includes the board, the power adapter, an HDMI cable, and the printed user manual; accessories sold separately are not included. Eligible U.S. shipping destinations: the 48 contiguous United States and the District of Columbia; Alaska and Hawaii are served at actual shipping cost disclosed before you pay any balance. Principal D: USD $1. Reservations open: October 14, 2026 at 12:00 a.m. America/Los_Angeles time. Reservations close on October 31, 2026 at 11:59:00 p.m. America/Los_Angeles time.

Product price: not fixed at reservation; disclosed and itemized before you pay any balance. Principal applied once: USD $1. Promotional benefit, if any: disclosed with the price in the same itemization. Total due at reservation checkout: USD $1, plus any taxes or other required charges itemized before payment. Product-price balance due in December: the disclosed price, less your USD $1 principal and less any promotional benefit, itemized before you authorize payment. All taxes or other required charges, if any, must be itemized before payment and reconciled at redemption under Section 3D. Any promotional benefit has no cash value. Existing valid reservations retain the benefit we agreed with them.

We do not commit to a shipment date when you place a reservation. The expected shipment window and dispatch origin are disclosed to you before you place your product order, and that disclosure governs. U.S. shipping within the eligible coverage above is free. Shipment means dispatch from our U.S. fulfillment location, not a promise of delivery by a particular day. The balance-payment invitation and redemption schedule must allow us to honor the shipment window we disclose. Section 3G governs any delay or material change. No separate priority position or specific unit allocation is promised.

Redemption and refunds

We will email the balance-payment invitation in December 2026. Redemption opens on the date stated in that invitation. Redemption closes: December 31, 2026 at 11:59 p.m. America/Los_Angeles time. You must actively choose to complete the product purchase; no balance is charged automatically. If the unused reservation expires at that redemption deadline, we will notify you, end the promotional entitlement and refund all cash collected, including D and any taxes or other charges, processed in accordance with applicable law.

Before redemption you may cancel for any reason; after paying the balance you may cancel before shipment. Both cancellations receive a full refund of cash collected for the cancelled transaction, including principal and any paid balance, taxes or other charges, processed in accordance with applicable law. The promotional discount is not paid out as cash. After delivery, Section 3E, our Returns & Refunds policy, and our Limited Warranty policy govern. Campaign refund contact: founders@kiwii.ai. Refund initiation: as stated in our Returns & Refunds policy, subject to earlier legal deadlines. Bank posting: determined by your bank or card issuer and outside our control.

Combination with other offers: this promotional benefit cannot be combined with other offers, discounts, or promotional codes. Reservations per person and household: one reservation per person and per household. Included product contents: as stated for the eligible product above. Product warranty: as set out in our Limited Warranty policy. Joining free monthly launch updates is optional and separate from this paid reservation. Cancelling marketing does not cancel the reservation or prevent transactional messages or refunds.
